1. Booking Confirmation & Cancellation
   All bookings, sponsorships, partnerships, activations, advertising placements, and event-related agreements are considered confirmed once accepted in writing by NUE Collective. Cancellations made by the Client or Advertiser prior to the agreed material submission or activation deadline must be submitted in writing and will be subject to a cancellation fee equal to 50% of the total agreement value. Failure to make payment simultaneously with written cancellation shall result in the full agreement value becoming immediately due and payable.

2. Amendments & Alterations
   No amendments, alterations, additions, or variations to any booking, agreement, activation, sponsorship, or advertising order shall be binding unless agreed to in writing and signed by both NUE Collective and the Client in one and the same document.

3. Right to Refuse or Cancel
   NUE Collective reserves the right to refuse, remove, postpone, or cancel any booking, partnership, sponsorship, advertisement, activation, content placement, or promotional material at its sole discretion without obligation to provide reasons. NUE Collective shall not be held liable for any direct, indirect, incidental, or consequential loss, damage, or expense arising from such refusal, cancellation, omission, publication error, scheduling adjustment, positioning, or typographical mistake.

4. Placement & Editorial Discretion
   Unless expressly agreed to in writing by both parties, NUE Collective does not guarantee specific positioning, editorial inclusion, social media coverage, speaker mentions, influencer collaborations, attendee engagement levels, or any form of dedicated exposure beyond what is outlined in the signed agreement.

5. Submission of Materials
   The Client or Advertiser is responsible for supplying all approved, print-ready, digital-ready, or production-ready materials by the agreed submission deadline. NUE Collective will not be responsible for delays, quality issues, inaccuracies, or reproduction errors resulting from incomplete, incorrect, or late material submissions. Where colour proofs or brand guidelines are not supplied, NUE Collective cannot guarantee colour accuracy or exact reproduction outcomes.

6. Performance & Results Disclaimer
   NUE Collective does not guarantee specific commercial results, sales performance, audience reach, social media engagement, attendee conversions, lead generation, media exposure, or return on investment resulting from participation in any event, activation, sponsorship, partnership, or advertising placement.

7. Payment Terms
   A non-refundable deposit equal to 50% of the total agreement value is payable within 7 days of signing the agreement unless otherwise stated in writing. The remaining balance must be paid in full prior to the event date, activation launch, campaign publication, or production commencement.

8. Late Payments & Outstanding Balances
   Should payment not be received by the due date, NUE Collective reserves the right to suspend services, withhold publication or activation, revoke participation, and/or cancel the agreement. In such cases, the full outstanding balance shall immediately become due and payable.

9. Liability & Indemnity
   The Client or Advertiser indemnifies and holds NUE Collective, its directors, employees, contractors, partners, and affiliates harmless against any claims, damages, losses, liabilities, legal actions, or expenses arising from submitted content, intellectual property infringement, misleading claims, unlawful materials, or any third-party disputes connected to the Client’s participation, advertising, sponsorship, or activation.

10. Authority & Warranty
    The signatory entering into this agreement warrants that they are duly authorised to do so on behalf of the Client, Brand, or Company and confirms that all information supplied to NUE Collective is accurate and lawful.

11. Force Majeure
    NUE Collective shall not be held liable for any delay, cancellation, postponement, interruption, or failure to perform obligations resulting from causes beyond reasonable control, including but not limited to acts of God, severe weather, venue restrictions, government regulations, public health concerns, labour disputes, technical failures, supplier disruptions, or other unforeseen circumstances.

12. Entire Agreement
    These Terms & Conditions constitute the entire agreement between NUE Collective and the Client unless otherwise agreed in writing. No verbal agreements or representations shall be binding unless reduced to writing and signed by both parties.

13. Governing Law
    These Terms & Conditions shall be governed and interpreted in accordance with the laws of the Republic of South Africa.
